1. Who these terms cover
1.1. These terms apply to personal coaching purchased by an individual, coaching purchased for business purposes, and coaching arranged or funded by an employer or other organisation. They do not govern future shop sales.
1.2. An Individual Client purchases mainly outside their trade or profession. A Business Client purchases mainly for business purposes. A Participant is the person receiving coaching and may be different from the paying client.
1.3. Before services begin, we will agree the particular services in writing, including their scope, session length and number, price, payment arrangements, delivery method and any agreed period for using sessions. This may be set out in a signed agreement, accepted proposal or service schedule (the Service Agreement).
1.4. These terms form part of the Service Agreement when supplied and accepted as part of the booking or contracting process. Specific agreed service details take precedence over general descriptions here, but no agreement removes rights that cannot legally be excluded. A published website page alone does not replace an agreed Service Agreement.
2. What coaching is, and is not
2.1. We provide the coaching or related mentoring expressly described in the Service Agreement. Services may include personal, life, executive, performance or executive-function coaching, as agreed. Sessions normally take place remotely through Google Meet or WhatsApp; other arrangements require agreement in advance.
2.2. Coaching is a collaborative process intended to support reflection, decisions and action. It is not psychotherapy, psychological counselling, medical or psychiatric treatment, diagnosis, crisis intervention, or legal or financial advice. It does not replace appropriately qualified professional services.
2.3. Participants make their own decisions about actions taken during or following coaching. Specific outcomes are not guaranteed. This does not reduce our obligation to deliver the agreed services with reasonable care and skill.
2.4. If coaching is not suitable for a participant’s needs, we may discuss other sources of support or end the engagement under section 9. We do not offer an emergency response service.
3. Sessions and participation
3.1. Session dates, start times, time zones, lengths and joining arrangements will be agreed before the appointment. Participants should attend on time and take reasonable steps to use a private space and suitable connection. We will take reasonable steps to make the service available as agreed.
3.2. We may suggest exercises or reflection between sessions. These are voluntary. Where material is sent for review, please submit it at least 24 hours before the next session; we cannot promise to review material received later in advance of that session.
3.3. You may contact us between sessions to share progress or ask brief coaching-related questions. Unless your Service Agreement expressly provides otherwise, this is not unlimited coaching support and does not include an immediate response guarantee.
3.4. We do not audio-record or video-record coaching sessions or create meeting transcripts. Clients, participants and sponsoring organisations must not record a session without the prior express agreement of everyone involved.
4. Fees and payment
4.1. The total price, any applicable VAT, the number of sessions and any additional agreed expenses will be disclosed before the engagement is confirmed. We do not charge undisclosed mandatory fees.
4.2. Payment is made by direct bank transfer to details provided privately when we agree to start the services. Unless the Service Agreement says otherwise, invoices are payable within seven calendar days after receipt, in pounds sterling (GBP).
4.3. We are responsible for our ordinary operating costs. Travel, venue, bank conversion or other additional charges payable by a client must be disclosed and agreed in advance.
4.4. If an invoice remains unpaid, we may give notice and suspend future services while the matter is resolved, subject to statutory rights and any genuine invoice dispute. For qualifying business debts only, any statutory rights under the Late Payment of Commercial Debts (Interest) Act 1998 may apply. This Act is not used to impose statutory commercial-debt interest on consumer clients.
5. Statutory cooling-off rights for individual consumers
5.1. Where the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 apply to a distance or off-premises consumer service contract, an Individual Client normally has 14 calendar days after the day the contract is made to cancel without giving a reason.
5.2. To cancel under this right, notify us clearly before the period expires, for example by emailing moduscoaching.info@gmail.com. The optional model notice at the end of this document may be used but is not compulsory.
5.3. Coaching will not begin during a statutory cooling-off period unless the Individual Client makes the legally required express request to begin early. If the client then cancels after validly requesting early performance, a proportionate charge for services actually supplied may be due where permitted by law and after the required information has been given.
5.4. Where a service has been fully performed within the cooling-off period, the statutory right to cancel may end only if the legally required prior express request and acknowledgement have been obtained.
5.5. Where a refund is due under these regulations, we will refund it without undue delay and within 14 days after receiving the cancellation notice, using the original payment method unless otherwise expressly agreed. We will not impose a refund fee.
5.6. These consumer contract rights are separate from the individual-session policy below. Business Clients do not automatically have the same statutory cooling-off rights. Other rights under consumer law, including rights concerning services not performed with reasonable care and skill, remain unaffected.
6. Cancelling or rescheduling an individual session
6.1. Clients may cancel or reschedule a booked one-to-one coaching session without charge if they give at least 24 hours' notice before the scheduled start time. Send the request to moduscoaching.info@gmail.com. The 24 hours are calculated from the scheduled start time, taking account of the time zone confirmed for that booking.
6.2. Where a booked one-to-one session is cancelled or rescheduled with less than 24 hours' notice, or the participant does not attend, the agreed session fee is ordinarily payable in full, or one prepaid session is treated as used. This policy is subject to applicable statutory rights and the law governing fair consumer contract terms.
6.3. If we cancel a session or cannot deliver it as agreed, we will offer an alternative appointment without an extra charge. If a mutually acceptable alternative cannot reasonably be arranged, we will refund the amount attributable to the undelivered session or provide another remedy required by law.
6.4. If a participant arrives late, the scheduled end time normally remains unchanged. If a substantial interruption is caused by our equipment, connection or arrangements, we will take reasonable steps to make up the affected time or reschedule it without extra charge.
6.5. Group sessions, bespoke corporate workshops and other services with different scheduling requirements will have any distinct cancellation arrangements set out clearly in their specific Service Agreement before purchase. Those arrangements cannot override mandatory legal rights.
7. Confidentiality and employer-funded coaching
7.1. We treat non-public information shared during coaching as confidential. This includes coaching discussions, personal goals, business information and coaching notes.
7.2. Confidentiality is subject to disclosures that are lawfully necessary, for example where required by law, with appropriate consent, to deliver services through relevant providers, to address a serious risk of harm where disclosure is justified, or to establish or defend legal claims. We limit disclosures to what is necessary in the circumstances.
7.3. When an organisation pays for coaching, it does not automatically receive private coaching notes or the contents of individual sessions. Before such coaching begins, we will explain and agree what limited information, if any, may be shared with the paying organisation, such as booking or attendance information. Substantive personal or sensitive disclosures will not be shared merely because the organisation pays for the service.
7.4. Participants and Business Clients must also respect confidential information and materials shared with them. Confidentiality obligations continue after the engagement where applicable.
8. Responsibilities and conduct
8.1. We aim to provide a professional, respectful coaching environment. Participants and clients are expected to behave respectfully and must not engage in harassment, threats, abuse or unlawful conduct.
8.2. We may pause or stop a session if conduct creates a safety risk or makes the session unsuitable. Serious misconduct may justify ending the engagement, with fees and any refunds considered fairly under section 9 and applicable law.
8.3. Feedback is welcomed but voluntary. Providing feedback does not authorise us to publish a testimonial or reveal identifiable client information without an appropriate basis and permission.
9. Ending an engagement and refunds
9.1. Either party may request termination in writing. Amounts properly due for services already supplied remain payable, subject to statutory rights, the agreed Service Agreement and any valid dispute.
9.2. Either party may terminate for a serious breach that cannot be remedied, or for a remediable material breach that remains uncorrected after written notice and a reasonable opportunity to correct it (normally 30 calendar days). Serious safety concerns or unlawful conduct may justify immediate termination.
9.3. If we end an engagement because coaching is no longer suitable or we cannot provide the remaining services, we will discuss this where appropriate and return prepaid amounts for undelivered services where due, subject to applicable law.
9.4. Where a client ends an engagement after any applicable statutory cooling-off period, fees and refunds will depend on the services provided, agreed service-specific terms and any charges that are fair and lawful. We do not claim that every advance payment is automatically non-refundable.
9.5. Where a package has a booking or expiry period, that period must have been clearly agreed before purchase and remain subject to applicable law. No unannounced package-expiry rule applies.
9.6. Termination does not remove accrued rights and obligations or provisions intended to continue, including appropriate confidentiality, payment and intellectual property obligations.
10. Intellectual property
10.1. Each party retains ownership of materials and intellectual property it owned before the engagement. Original materials created by a participant remain theirs; materials created by us remain ours unless otherwise agreed.
10.2. We grant the participant a non-exclusive, royalty-free, non-transferable licence to use worksheets, exercises and resources supplied as part of coaching for their personal or agreed internal use. They may not publish, redistribute or sell our materials without prior written permission.
11. Data protection
11.1. We process personal information in accordance with applicable data-protection law. Our separate Privacy Notice explains the purposes, legal grounds, types of information, retention and individual rights.
11.2. Handwritten coaching notes use identifying numbers rather than clients' names and are securely stored while the coaching relationship is active. They are destroyed securely when that relationship ends. Administrative, contractual, correspondence and financial records are treated separately and may be retained where legally justified.
11.3. Clients may contact moduscoaching.info@gmail.com about their personal information or make a data-protection complaint. We will handle requests and complaints in accordance with applicable law.
12. Care, skill and liability
12.1. We will perform services with reasonable care and skill. Nothing in these terms reduces any applicable rights under the Consumer Rights Act 2015 or other mandatory law.
12.2. No specific personal, health, career or business result is guaranteed. A difference between hoped-for and actual outcomes does not itself establish a breach, but does not excuse a failure to exercise reasonable care and skill.
12.3. Nothing excludes or restricts liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or another liability that cannot legally be excluded or restricted.
12.4. Any further allocation or limitation of business-to-business liability must be specifically agreed in the relevant corporate agreement and must be lawful and reasonable. These website terms do not impose a general monetary liability cap.
13. Events outside reasonable control
13.1. Neither party is responsible for a delay directly caused by circumstances genuinely beyond its reasonable control, provided it takes reasonable steps to notify the other party, limit the disruption and resume performance. This does not excuse negligence, deliberate wrongdoing or compliance with law.
13.2. We will first seek to rearrange affected appointments. If a material part of the agreed service cannot be provided for 30 consecutive days because of such an event, either party may end the affected engagement on written notice, with prepaid undelivered services handled fairly and in accordance with law.
14. Complaints and disputes
14.1. If you are dissatisfied with the service, email moduscoaching.info@gmail.com describing the concern and the outcome sought. We will consider it in good faith and aim to resolve it promptly.
14.2. We encourage direct discussion before court proceedings where practicable. This does not prevent either party from exercising legal rights, seeking urgent relief or using courts or regulators where entitled.
15. Governing law and general provisions
15.1. These terms and Service Agreements are governed by the law of England and Wales, subject to any mandatory rights of a consumer that apply regardless of that choice, including rights arising under applicable law in another country.
15.2. For Business Clients, the courts of England and Wales will have jurisdiction unless the corporate agreement lawfully states otherwise. Individual consumers retain any mandatory rights to bring proceedings in another competent court.
15.3. Coaching does not create employment, partnership, joint venture or agency between the parties. Neither party may bind the other without authority.
15.4. Neither party may transfer material contractual rights or obligations where consent is required without the other party's agreement. A change must not deprive a consumer of statutory protections.
15.5. If any part of these terms is held invalid or unenforceable, the rest remains effective to the extent permitted by law. Delay in enforcing a right does not automatically waive it.
15.6. Updates to the website terms apply to future engagements. Existing agreed contracts are not materially changed merely by posting a new website version.
